SEBI clears Kuku and Fibe — India’s startup IPO queue thickens

Observation letters for audio OTT Kuku (₹2,500–3,500 Cr range chatter) and lending platform Fibe (₹750 Cr fresh + OFS) land in the same September window as NSE’s mega close — pipeline, not listing day.

Markets regulator SEBI has issued observation letters clearing two startup-linked public-issue tracks in mid-September: Kuku Technologies (audio / micro-drama OTT) and Fibe (digital lending; parent Social Worth Technologies, formerly EarlySalary).

Kuku: SEBI observations dated 11 Sep (company/regulatory track); issue size chatter ₹2,500–3,500 crore, potential valuation up to ~₹15,000 crore — ranges, not a filed band; structure is fresh issue + OFS; proceeds aimed at tech/AI, content, and geographic expansion. Price band and open dates not set.

Fibe: SEBI final observations 15 Sep; fresh issue up to ₹750 crore plus OFS of over 4 crore equity shares; fresh proceeds to capitalize NBFC arm EarlySalary Services (company/DRHP colour: ~₹562.6 crore into the subsidiary over two years). AUM ~₹8,603 crore (31 Mar 2026); FY26 profit ~₹257.46 crore (company/DRHP colour).

Takeaway: These are regulatory go-aheads, not open books. Put them beside today’s NSE IPO close as pipeline depth — not as substitutes for exchange subscription tables.

Analysis

What an “observation letter” is (and is not)

In SEBI parlance, issuing observations / a final observation on offer documents is the regulator’s clearance to proceed toward a public issue, subject to remaining process steps (RHP, price band, marketing, exchange listing approvals). It is not:

  • a listing date
  • a guarantee of demand
  • a valuation lock

Readers should wait for the price band + open/close calendar before treating either name as “live IPO week.”

Two different business tests in one window

  1. Kuku — consumer content / micro-drama thesis. Capital Chronicle frames it as an early public-market test of India’s short-form / audio entertainment stack (Kuku FM, Kuku TV, Guru). Capital use is growth/tech/content — classic primary-raise logic where fresh capital matters. Size/valuation figures circulating ahead of a price band are ranges, not SEBI-stamped finals.
  2. Fibe — lending tech with an NBFC capital need. The DRHP-shaped story is about putting most of a ₹750 crore fresh raise into the NBFC subsidiary to fund onward lending — a balance-sheet story more than a pure software multiple story. OFS lets existing shareholders (IFC, TPG, Norwest named in offer documents) monetize.

Why the timing matters next to NSE’s close

Monday 21 Sep is the final subscription day for the National Stock Exchange’s mega OFS (~₹22,500+ crore). That book is ownership transfer of market infrastructure. Kuku/Fibe clearances are future primary/hybrid raises in consumer internet and consumer credit. Same “IPO” word; different cash destinations and risk books. Do not collapse them into one sentiment score.

Soft spots (do not flatten)

  • Kuku size (₹2,500–3,500 crore) and ~₹15,000 crore valuation are pre-band ranges, not a filed price band.
  • Fibe OFS share count appears as “over 4 crore” / “~4.007 crore” in offer-document colour — use the DRHP/RHP when posted.
  • Competitor listing colour (e.g. other fintech debuts) is not a prediction for Fibe.
  • No politics; no advice to bid any issue.
